Transfer out of treasury and voting rights

AssetCo has today transferred out of treasury 2,911,208 ordinary shares of 1p
each ("Ordinary Shares") to certain senior SVM employees and directors
following the conversion of £2,000,000 of the loan notes issued to them as
part of the consideration for the acquisition of SVM Asset Management Holdings
Limited ("SVM"). Further detail of the loan notes is set out in the
announcement relating to the completion of the acquisition of SVM by AssetCo
dated 1 November 2022. A short extension was granted such that the loan notes
were converted at 68.7p being the prevailing market price on 28 February 2023.

Following the transfer, AssetCo has 8,283,027 ordinary shares remaining in
treasury.

The Company announces in accordance with DTR 5.6.1 that, as at 20 March 2023
and following the transfer, the Company's issued share capital consists of
149,292,970 Ordinary Shares of which 8,283,027 are held in treasury. The total
number of voting rights attaching to the Ordinary Shares is therefore
141,009,943.

The above figure (141,009,943) may be used by shareholders as the denominator
for any calculation pursuant to which they determine if they are required to
notify their interest in, or a change to their interest in, the Company's
Ordinary Shares under the FCA's Disclosure Guidance and Transparency Rules.
