Conditional allocation of shares
In connection with the buyout of forfeited incentive schemes in relation to
his former employer, a conditional allocation of ordinary shares of 5(15/22)
pence in the Company was made to the following director of the Company on 3
March 2023 under Listing Rule 9.4.2 (2):

Eoin Tonge 240,229
The allocation was made on the basis of an allocation price of 1604.613636
pence (using the average share price of M&S (138.1840909p) and the average
share price of the Company (1604.613636p) over the month prior to the
announcement on 21 July 2022 that Eoin Tonge would be joining the Company).

the requirements of Article 19 of the Market Abuse Regulation, provide further
