Dec 21 (Reuters) - Jason Holdings Ltd  JAHL.SI  
    * Deal for aggregate subscription amount of s$1 million 
    * Entered in to a binding conditional placement term sheet 
with Lim Chwee Kim 
    * Pursuant to placement term sheet, co proposes to allot and 
issue to subscriber an aggregate of 2 billion new ordinary 
shares 
    * Placing price of s$0.0005 for each placement share 
    * Co intends to use up to 25% of proceeds from proposed 
placement for payment of professional fees in relation to this 
proposed placement 
    * Balance proceeds from proposed placement to compromise in 
full all actual and contingent claims against company pursuant 
to scheme
