** ZBAI enters into non-binding letter of intent to acquire cryptocurrency exchange Mask Global Market

** ZBAI proposes to acquire 100% equity of Mask Global through issuance of shares

** LOI stipulates a 60-day exclusivity period, restricting both parties from negotiating similar deals with others

** Up to last close, ZBAI had fallen over 43% YTD
