Further re Placing and Subscription to raise up to £4.5 million
 
Further to the announcement made earlier today, Audioboom Group plc (AIM:BOOM), the leading spoken word audio on-demand platform, announces that Roger Maddock, a non-executive Director of the Company, has conditionally subscribed for 3,333,334 new Ordinary Shares, representing approximately £100,000 at the Issue Price (the "Maddock Subscription"). The Maddock Subscription is on the same terms as those described in the Company's announcement made earlier today (the "Prior Announcement") and the Circular that will be posted to shareholders today, which will be available on the Company's website, www.audioboomplc.com (the "Circular").
 
The definitions that apply throughout this announcement are as set out in the Prior Announcement.
 
Following confirmation of the Maddock Subscription, the total gross proceeds of the Placing will be £4.5 million.
 
Completion of the Maddock Subscription is conditional on Second Admission. The new Ordinary Shares to be issued in the Maddock Subscription will, on Second Admission, have the same rights in all respects with Existing Ordinary Shares, including the right to receive all dividends and other distributions declared. It is expected that Second Admission will be effective and trading will commence on 26 June 2018 (or such other date, not being later than 3 July 2018), subject to approval being received at the Extraordinary General Meeting of the Company.
