Publication of Scheme Document
Further to the announcement by Avingtrans and Hayward Tyler Group plc ("Hayward Tyler") on 30 June 2017 relating to the recommended acquisition of Hayward Tyler by Avingtrans (the "Acquisition"), to be effected by way of a scheme of arrangement (the "Scheme"), the Board of Avingtrans notes the announcement today by Hayward Tyler confirming that it has published a circular setting out further information about the Acquisition and the Scheme, together with notices of the court meeting and general meeting of Hayward Tyler shareholders to be held in connection with the Scheme.
As a result of its size, the Acquisition constitutes a reverse takeover for Avingtrans under the AIM Rules for Companies. The Company confirms that it expects to publish an admission document in connection with the readmission to trading on AIM of the enlarged group on or around 1 August 2017.
