Result of General Meeting
Avingtrans plc (AIM: AVG) announces that at the General Meeting of the Company, held in connection with the proposed acquisition of Hayward Tyler Group plc ("HTG"), to be effected by means of a scheme of arrangement under Part X of the Companies Act 2006 of the Isle of Man (the "Scheme"), which took place earlier today, all resolutions were duly passed. 
The Scheme is also conditional on approval by HTG shareholders at the both the HTG Court Meeting and General Meeting (the "HTG Meetings"), to be held on 21 August 2017, and the Scheme being sanctioned by the High Court of the Isle of Man, with such court hearing to be held on 30 August 2017. Subject to the requisite approvals at the HTG Meetings and court sanction, the Scheme is expected to become effective on 31 August 2017, with readmission of the Company's enlarged share capital to trading on AIM expected to take place at 8.00 a.m. on 1 September 2017.
