Directorate change and withdrawal of AGM resolution

 

Aviva plc (the Company) announces that Mike Craston, a Non-Executive Director
of the Company and Chair of Aviva Investors Holdings Limited, has stepped down
from the Boards of the Company and its subsidiaries effective 16 April 2024,
having spent over eight years with the Group in both non-executive and
executive roles.

 

George Culmer, Chair said "I would like to thank Mike for his commitment and
outstanding contribution to the Company during his tenure as a Non-Executive
Director of the Company and Chair of Aviva Investors. We wish him well for the
future".

 

As a result, Mike will not be standing for re-election at the Company's Annual
General Meeting (AGM) to be held on Thursday 2 May 2024. As the Company's
Notice of 2024 AGM (the Notice) has already been issued, the Company confirms
that the resolution to re-elect Mike Craston as a Non-Executive Director of
the Company (Resolution 11) is now withdrawn.

 

The withdrawal of Resolution 11 does not otherwise affect the validity of the
Notice, the proxy form or any proxy votes already submitted on other proposed
resolutions. The numbering of all other proposed resolutions at the AGM will
remain unchanged.

 

This announcement is made in compliance with the Company's obligations under
Listing Rule 9.6.11.
