REF.:     DISCLOSURE UNDER REGULATION 30 OF SEBI (LISTING OBLIGATIONS AND
DISCLOSURE REQUIREMENTS) REGULATIONS, 2015.

 

SUB.:    APPOINTMENT OF N. S. VISHWANATHAN AS THE NON EXECUTIVE (PART-TIME)
CHAIRMAN OF AXIS BANK LIMITED ("BANK").

 

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, we wish to inform you that based on the
recommendations of the Nomination and Remuneration Committee, the Board of
Directors of the Bank at its meeting held today i.e. Friday, June 16, 2023 has
approved the appointment of N. S. Vishwanathan (DIN: 09568559), Independent
Director as the Non-Executive (Part-time) Chairman of the Bank for a period of
three years subject to approval of the shareholders of the Bank and the
Reserve Bank of India.

 

His appointment will be effective from (i) October 27, 2023; or (ii) the date
of approval of his appointment by Reserve Bank of India ("Approval") in case
the Approval is not received prior to October 27, 2023.

 

N. S. Vishwanathan is not related to any other Director or Key Managerial
Personnel of the Bank.

 

Further, in line with the Stock Exchange Circular dated June 20, 2018, it is
hereby confirmed that he is not debarred from holding the office of director
by virtue of any SEBI order or any other such authority.

 

A brief profile of N. S. Vishwanathan is enclosed as Annexure A.
