SUB.: APPOINTMENT OF WHOLE-TIME DIRECTOR

 

REF.:  DISCLOSURE UNDER REGULATION 30 OF THE SECURITIES AND EXCHANGE BOARD OF
INDIA (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015

 

This is to inform you that based on the recommendation of the Nomination and
Remuneration Committee, the Board of Directors of Axis Bank Limited ("the
Bank") at its meeting held today, i.e. October 26, 2023, has approved the
appointment of Munish Sharda (DIN: 06796060) as a Whole-time Director,
designated as "Executive Director" of the Bank (including his terms and
conditions and remuneration), effective from (i) November 1, 2023; or (ii) the
date of approval of his appointment by Reserve Bank of India ("RBI"),
whichever is later.

 

The above appointment is for a period of 3 (three) years from the effective
date of his appointment and is subject to approval of the shareholders of the
Bank and RBI. Munish Sharda would be liable to retire by rotation.

 

The brief profile of Munish Sharda is attached herewith as Annexure A.

 

Please note that Munish Sharda is not related to any other Director or Key
Managerial Personnel of the Bank. He has not been debarred from holding the
office of a Director by virtue of any order passed by SEBI or any other
regulatory/ statutory authority.

 

Please note that the Board Meeting commenced at 9.30 am and concluded at 4.55
p.m.
