SUB: RESIGNATION OF DR. SANJIV MISRA AS THE NON-EXECUTIVE CHAIRMAN OF AXIS BANK LIMITED
REF: REGULATION 30 OF SEBI (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015 ("LISTING REGULATIONS"). 
This is further to our letter dated 10th May 2016, wherein we had intimated to you that the Members of the Bank on 10th May 2016 have approved the amendments to the Articles of Association (AOA) of the Bank by means of a special resolution, passed through Postal Ballot. 
In this connection, please note that pursuant to the said amendments, the right of nomination available to Specified Undertaking of the Unit Trust of India (SUUTI), promoter of the Bank to nominate the Chairman and 3 Directors on the Board of Directors of the Bank, under the erstwhile Article 89 (1) of the AOA of the Bank has been rescinded, with effect from the said date. 
In view of the above, please note that Dr. Sanjiv Misra has vide his letter dated 11th May 2016, tendered his resignation as the Non-Executive Chairman of the Bank (as the nominee of SUUTI), with immediate effect.
You are requested to take the above on record and bring this to the notice of all concerned.
