Transaction in Own Shares and Total Voting Rights

Further to the Company's announcement yesterday, the Company confirms that it
has purchased 769,231 Placing Shares through its joint corporate broker,
Singer Capital Markets Advisory LLP, from PSC UK Pty Ltd (the "Selling
Shareholder") at a price of 650 pence per Placing Share (the "Buyback").

The shares purchased pursuant to the Buyback will be held in treasury.

Following the Buyback, the aggregate interests of Brian Marsh, the Company's
Executive Chairman, together with those persons deemed to be acting in concert
with Brian Marsh (the "Brian Marsh Concert Party"), have increased to
approximately 39.2% of the Company's total voting rights.

Total Voting Rights

Following the Buyback, the Company's total issued share capital consists of
37,100,000 Shares and the Company holds 932,417 Shares in treasury and
therefore, the total number of Shares carrying voting rights in the Company is
36,167,583.

 

The above figure of 36,167,583 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, the Company under
the FCA's Disclosure Guidance and Transparency Rules.
