NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS
Notifications made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:
1. The Company has been notified that Philip Bramwell, a Person Discharging Managerial Responsibilities (PDMR) exercised options over 114,879 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Executive Share Option Plan at an option price of 457 pence per share on 20 February 2015 and subsequently disposed of those shares at a price of 528.07 pence per share. 
2. The Company has been notified that Alan Garwood, a PDMR, exercised options over 166,753 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Executive Share Option Plan at an option price of 479 pence per share on 20 February 2015 and subsequently disposed of 159,822 of those shares at a price of 528.17 pence per share. 
Both sale transactions took place on the London Stock Exchange.
