BAE Systems plc: Transaction in own shares
BAE Systems plc announces that on 5 April 2016 it transferred 74,869 ordinary shares of 2.5p each held in treasury to participants in its Executive Share Option Plan at a transfer price of between 388.90 pence and 457 pence per share. 
Following the transfer of these shares (and the adjustment of 91 shares which were not ultimately utilised in the treasury share transaction announced on 4 April 2016), BAE Systems plc holds 295,651,248 of its ordinary shares in treasury and has 3,171,788,796 ordinary shares in issue (excluding treasury shares). 
The figure above (3,171,788,796) represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
