Result of AGM

 

The Board of Directors of the Company are pleased to announce the results of
the Company's Annual General Meeting held on Thursday 12 September 2024:

 

Resolutions 1 to 10 were all passed as proposed, by a majority in excess of
99%.

 

Resolutions 11 and 12, proposed as special resolutions, received votes of 72%
in favour. Resolutions 11 and 12 therefore failed to pass with the required
majority of 75%. The Board notes that an administrative issue appears to have
led to the vote falling short. The Board will investigate this outcome and
also engage with the relevant shareholders to understand their position and
points of view.

 

Resolution 13 required every three years under the Articles of Incorporation
which would have required the Directors to submit proposals for the
discontinuation of the Company was rejected by a majority of 92% in accordance
with the recommendation of the Board.
