Notification of Transactions of Persons Discharging Managerial
Responsibilities or Connected Persons 
 
On 20 January 2016, Balfour Beatty plc ("the Company") was informed of the
following purchase of Cumulative Convertible Redeemable Preference Shares of
1p each in the Company ("Preference Shares") which took place on 7 January
2016 by way of the reinvestment of dividends:

 Dr S R Billingham,Non-executive Director  1,458                    114.82p                     
 
 
This transaction took place in London. 
 
As a consequence, the total number of Preference Shares held by Dr Billingham
and any persons connected with him within the meaning of Section 252 of the
Companies Act 2006 ("connected persons") is 36,070. 
 
In addition, Dr Billingham and any connected persons also hold 11,350 Ordinary
Shares of 50p each in the Company.
