TOTAL VOTING RIGHTS

Balfour Beatty plc (the "Group" or "Balfour Beatty"), the international
infrastructure group, announces that, on 20 December 2023, the Company
cancelled 43,286,805 ordinary shares that were previously held in Treasury
(the "Treasury Share Cancellation").

 

Following the cancellation of shares on 20 December 2023, the remaining number
of ordinary shares in issue will be 544,147,602 each with one vote.

 

Following the Treasury Share Cancellation, the Group owns no shares in
treasury.

 

Accordingly, the total number of voting rights in the Company is 544,147,602.
This figure may be used by shareholders as the denominator for the calculation
by which they will determine whether they are required to notify their
interest in, or a change to, their interest in Balfour Beatty plc under the
FCA's Disclosure and Transparency Rules.
