Annual Report and Accounts and Notice of AGM

 

Baltic Classifieds Group PLC, (LSE: BCG), a leading online classifieds group
in the Baltics, confirms that the Annual Report and Accounts for the year
ended 30 April 2024 and Notice of the 2024 Annual General Meeting ("AGM") have
today been issued to shareholders.

 

Copies of the 2024 Annual Report and Accounts and the Notice of AGM are
available to download from the Company's website at
https://balticclassifieds.com.

 

The Company also announces that its 2024 AGM will be held at 11.00 am (local
time) / 9.00 am (BST) on Friday 27 September 2024, at G.D. Kuverto g. 15,
Neringa, LT-93123, Lithuania.

 

The Company notes that the sale announced on 12 July 2024 by Antler EquityCo
S.à r.l ("Antler"), which is controlled by funds advised by Apax Partners LLP
("Apax"), resulted in a full exit by Antler of its position in the Company.
Accordingly, the Relationship Agreement between the Company and Antler dated
30 June 2021 (as amended from time to time) has terminated in accordance with
its terms.

 

As Antler no longer has the right to nominate a director under the
Relationship Agreement, the Board of the Company has invited Tom Hall to
continue as a Non-Executive Director and Nomination Committee member. Tom has
made a valuable contribution to the Board over the last three years and the
Board continues to benefit from Tom's deep investment and sector expertise.

 

As the Company's AGM Notice had been finalised for printing prior to the
Antler sale, the off-market buyback contract is no longer relevant and,
accordingly, the Company confirms that the resolution to approve the
off-market buyback contract (Resolution 20) is now withdrawn.

 

The withdrawal of Resolution 20 does not otherwise affect the validity of the
Notice of Meeting or the form of proxy. The numbering of all other resolutions
at the AGM will remain unchanged.

 

In accordance with Listing Rule 9.6.1, a copy of the Annual Report and
Accounts, Notice of Meeting and form of proxy for the AGM have been submitted
to the National Storage Mechanism and will shortly be available for inspection
at https://data.fca.org.uk/#/nsm/nationalstoragemechanism
