Baltic Classifieds Group PLC Transaction in Own Shares

 

Following the announcement on 15 July 2024, Baltic Classifieds Group PLC (the
"Company") announces the completion of an off-market purchase of 4.2 million
shares from Antler EquityCo S.à r.l. at 247 pence per share.

 

Following settlement of the off-market purchase on 17 July 2024, the Company
has cancelled 3.4 million shares and transferred the balance of 0.8 million
shares to the Baltic Classifieds Group Employee Benefit Trust, in connection
with the funding of scheduled award vesting under the Company's employee share
schemes.

 

Following the above transactions, the Company has 484,372,852 ordinary shares
in issue and does not hold any ordinary shares in treasury. Therefore the
total number of voting rights in the Company is 484,372,852 which may be used
by shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to
their interest in, Baltic Classifieds Group PLC under the FCA's Disclosure
Guidance and Transparency Rules.
