and shareholders' agreement with Chan Hau Ngai and Chan Chiu 
Lung 
    * Agreement in relation to formation of joint venture 
company, Garden Medical Centre Limited 
    * Achiever ventures, Chan Hn & Chan Cl each agrees to 
advance to jv company in amounts of HK$3 million, HK$5 million 
and HK$2 million, respectively 
    * JV company is intended to be principally engaged in 
operation of plastic surgery clinics in Hong Kong
