ISSUANCE OF £450,000,000 FIXED RATE RESET PERPETUAL ADDITIONAL TIER 1 CAPITAL SECURITIES

("NEW AT1 SECURITIES")
AND
NOTICE TO REDEEM £500,000,000 PERPETUAL CAPITAL SECURITIES

("OUTSTANDING AT1 SECURITIES")


NOTICE IS HEREBY GIVEN that Santander UK Group Holdings plc has today issued the New AT1 Securities. The initial distribution rate in respect of the New AT1 Securities is 4.25%. Application will be made to the London Stock Exchange plc (the "LSE") for the New AT1 Securities to be admitted to trading on the International Securities Market. Once approved by the LSE, the relevant Offering Memorandum will be available at: https://www.santander.co.uk/about-santander/investor-relations/capital-issuances 
In addition, on 16 February 2021, Santander UK Group Holdings plc gave notice to the holder(s) of the Outstanding AT1 Securities indicating its intention to fully redeem all of the Outstanding AT1 Securities on 24 March 2021, in accordance with their terms and conditions.
