NOTICE OF OPTIONAL REDEMPTION IN FULL

SANTANDER UK GROUP HOLDINGS PLC

(the "Issuer")

£750,000,000 FIXED RATE RESET PERPETUAL ADDITIONAL TIER 1 CAPITAL SECURITIES

(the "Securities")

ISIN: XS1244538523

NOTICE IS HEREBY GIVEN to the holders of the Securities that, pursuant to
condition 6(b) (Redemption at the option of the Issuer) of the terms and
conditions of the Securities contained in the Offering Memorandum dated 8 June
2015 (the "Conditions"), the Issuer will redeem the Securities in full on 24
June 2022 (the "Optional Redemption Date") at their principal amount
outstanding, together with Distributions accrued to, but excluding, the
Optional Redemption Date. The Issuer will request the cancellation of the
listing of the Securities on the London Stock Exchange with effect on and from
the Optional Redemption Date.

Expressions defined in the Conditions shall, unless defined herein or the
context otherwise requires, have the same meaning in this notice.
