** BAND early Tues announces pricing private offering of $275 mln 0% convertible bonds (CBs) due 2032
** Initial conversion price of $72.64 is 37.5% premium to stock's last close of $52.83
** BAND stock lost 19% on Mon after co launched the offering
** Co intends to use about $116.5 mln of net offering proceeds to repurchase $122.5 mln of its 0.5% CBs due 2028, any remainder for debt repayment, among other purposes
** It also intends to use $19 mln for capped call transactions and $10 mln to repurchase 189,286 shares to facilitate hedging by investors in the new CBs
** At Mon close, stock up 242% YTD
** Avg rating of 5 analysts is "buy"; median PT $57.50, per LSEG data
