BOI Finance B.V. (the "Issuer") and Bank of Industry Limited (the "Bank") have
today entered into an agreement for a private placement of €50,000,000 7.50
per cent. Senior Note Participation Notes due 2027 (the "Further Notes").

The Further Notes are expected to be issued on 25 February 2022 (the "Issue
Date"), subject to the satisfaction of customary conditions precedent. After
a distribution compliance period of 40 days from the Issue Date, the Further
Notes will be consolidated and form a single series with the €700,000,000
7.50 per cent. Senior Note Participation Notes due 2027 issued by the Issuer
on 16 February 2022.
