NOTICE OF TERMINATION OF PRINCIPAL PAYING AGENT AND RETIREMENT OF PAYING AGENTS AND TRANSFER AGENTS

hereby gives written notice to the holders of the:
Series No: 134
U.S.$400,000,000 4.000% Senior Notes Due 2022
And
Series No: 135
U.S.$450,000,000 4.500% Senior Notes Due 2024
of (i) the termination of the appointment of MUFG Bank, Ltd and appointment of The Bank of New York Mellon Trust (Japan), Ltd. as principal paying agent; and (ii) the retirement of The Bank of New York Mellon, SA/NV Dublin Branch and BNY Mellon Funds Services (Ireland) DAC as Paying Agents and Transfer Agents in relation to each of the series of notes referred to above (the "Notes") and to its U.S.$5,000,000,000 Global Medium-Term Note Program (the "Program"), effective from December 26, 2019. 
 
The Bank of New York Mellon shall continue to act as Registrar, Exchange Agent, Paying Agent and Transfer Agent, and, acting through its London Branch, as Fiscal Agent, Paying Agent and Transfer Agent of the Notes and the Program.
