31.03.2022 -  Report 6/2022: Termination of the Global Depositary Receipt
Program

 

With reference to current report no. 35/2021 of 21 December 2021, Bank Polska
Kasa Opieki Spółka Akcyjna (the "Bank") hereby announces termination, with
effect from 31 March 2022, of a program ("Program") of the Bank's global
depositary receipts (GDRs) issued under Rule 144A of the US Securities Act of
1933 and Regulation S of the US Securities Act of 1933 ("Depositary
Receipts").

 

The owners of Depositary Receipts are entitled to receive the Bank's shares
from The Bank of New York Mellon, the entity acting as the depositary
("Depositary"), in a number attributable to all Depositary Receipts held by an
investor.

 

In the future, the Depositary will not be recording any transactions
concerning the Depositary Receipts. Neither will the Depositary be forwarding
the dividends distributed by the Bank, if any, to the owners of Depositary
Receipts on an on-going basis. Dividends, if any, will be distributed to
investors together with the Bank's shares issued in exchange for the
Depositary Receipts.

 

After 31 March 2023 (i.e. one year after the Program termination date), the
Depositary will be entitled to sell the shares represented by the Depositary
Receipts that have not been converted into the Bank's shares by that time. The
owners of such Depositary Receipts will be entitled to receive the proceeds
obtained by the Depositary from the sale of the Bank's shares.

 

In connection with the termination of the Program,  as of 31 March 2022, the
Depositary Receipts will no longer be quoted on the Official List maintained
by the UK Financial Conduct Authority, they will no longer be traded on the
London Stock Exchange (LSE), quoted in the LSE's Stock Exchange Automated
Quotation System or traded on the PORTAL market operated by NASDAQ.
