AMENDMENT NOTICE 
 
The purpose of this notice is to address a mistake contained in the Base Prospectus, dated September 24, 2021 with respect to the Issuer's Euro Medium-Term Notes, Series B Program (the "Base Prospectus") which is not material or significant and therefore does not give rise to an obligation to supplement the Base Prospectus under Article 23(1) of Regulation (EU) 2017/1129 as it forms part of UK domestic law pursuant to the European Union (Withdrawal) Act 2018. 
 
The Issuer hereby gives notice of the following amendments to the Base Prospectus. 
 
The Paying Agent specified on the back cover of the Base Prospectus is hereby amended from "The Bank of New York Mellon, 240 Greenwich Street, New York, New York 10286, United States of America" to "The Bank of New York Mellon, London Branch, One Canada Square, London E14 5AL, United Kingdom".
 
The heading "Fiscal Agent and Registrar" on the back cover of the Base Prospectus is hereby replaced by the following:
 
"Fiscal Agent, Registrar and Transfer Agent"
 
The first sentence of the first paragraph under "The Paying Agent" on page 113 is hereby replaced by the following:
 
"We have initially appointed as paying agent The Bank of New York Mellon, London Branch."
 
The first two sentences of the second paragraph under "Certificated Notes" on page 115 are hereby replaced by the following:
 
"In the event individual certificates for the notes are issued, the holders of such notes will be able to receive payment on the notes, effect transfers and exchanges of the notes and replace lost, stolen, destroyed or mutilated notes at the offices of the paying agent listed at the end of this Base Prospectus."
 
The second sentence of the second paragraph under "Registration of Transfer" on page 117 is hereby deleted.
