 N04/22 - Russia related sanctions

 

1.        On 24 February 2022, the US Department of the Treasury's
Office of Foreign Assets Control ("OFAC") issued new sanctions against Russian
individuals and entities. Further information in relation to these sanctions
can be found at this link

. Under the provisions of General Licenses nos. 9 and 10 (see GL9
(https://home.treasury.gov/system/files/126/russia_gl9.pdf) and GL10
(https://home.treasury.gov/system/files/126/russia_gl10.pdf) ), US persons
have until 12:01am on 25 May 2022 (EST) to divest or transfer their holdings
in the relevant securities issued prior to 24 February 2022 to non-US
persons.

 

2.        Member firms are reminded that they must conduct their own
due diligence and take appropriate measures to ensure that they comply with
any applicable sanctions, current or future, and that they are not using
London Stock Exchange's (the "Exchange") systems to perform transactions that
would facilitate direct or indirect transactions by US persons in breach of
these sanctions.

 

3.        VTB Bank Public Joint Stock Company ("VTB") and its
subsidiaries have been designated as entities subject to the sanctions.
Global Depositary Receipts of VTB remain admitted to the FCA's Official List
and admitted to trading on the Exchange's International Order Book trading
service or Trade Reporting Only service.  Perpetual Loan Notes of VTB Eurasia
Limited ("VTB Eurasia") remain admitted to the FCA's Official List and
admitted to trading on the Exchange's Trade Reporting Only service.

 

4.        VTB has two lines admitted to trading on the Exchange, a
144a line (US46630Q1031) available for trading only for eligible Qualified
Institutional Buyers in the US, and a Reg S line (US46630Q2021). VTB Eurasia
has two lines admitted to trading on the Exchange, a 144a line (US91834KAA43)
available for trading only for eligible Qualified Institutional Buyers in the
US, and a Reg S line (XS0810596832). For as long as the OFAC sanctions remain
in force (or any other relevant sanctions), trading in the 144a lines of VTB
and VTB Eurasia will be suspended on the Exchange from 07:00 on 25 May 2022.
