22.04.2020 - Report 20/2020: Changes in the Management Board of the Bank
Bank Polska Kasa Opieki Spółka Akcyjna (the "Bank") hereby informs that on 21 April 2020, the Supervisory Board of the Bank, after assessing suitability, appointed, as of 22 April 2020, Mr. Leszek Skiba, the current Vice President of the Management Board of the Bank, as the President of the Management Board of the Bank for the current joint term of office, subject to obtaining the consent of the Polish Financial Supervision Authority and upon obtaining such consent. Until the above condition is met, on which the appointment of Mr. Leszek Skiba as the President of the Management Board of the Bank depends, the Supervisory Board of the Bank entrusted him with managing the work of the Management Board of the Bank.
In addition on 21 April 2020 Mr. Marek Lusztyn resigned, in an agreement with the Supervisory Board of the Bank, from the position of the President of the Management Board of the Bank, without resigning from the composition of the Management Board of the Bank. In the resignation there were no reasons for its submission. Simultaneously, the Supervisory Board of the Bank, after assessing suitability, entrusted Mr. Marek Lusztyn with the function of the Vice President of the Management Board of the Bank and, subject to obtaining the consent of the Polish Financial Supervision Authority and upon obtaining such consent, entrusted Mr. Marek Lusztyn with the function of the Vice President of the Management Board of the Bank supervising the management of material risk in the Bank's operations.
The Bank also informs that on 21 April 2020, the Supervisory Board of the Bank, after assessing suitability, appointed Mr. Krzysztof Kozłowski to the Management Board of the Bank for the current joint term of office as the Vice President of the Management Board of the Bank, with the effect from 22 April 2020.
In addition, on 21 April 2020, Mr. Marcin Gadomski resigned from the function of the Vice President of the Management Board of the Bank and from the composition of the Management Board of the Bank. The resignation did not include the reason for its submission. Mr. Marcin Gadomski remains an employee of the Bank.
According to the submitted statement Mr. Leszek Skiba does not conduct any business competitive to that of the Bank and he is not involved in a competitive business as a shareholder or partner in a civil law company, a partnership or a corporation or a member of a corporate body of a legal person. Mr. Leszek Skiba is not registered in the Register of Insolvent Debtors kept pursuant to the provisions of the KRS (National Court Register) Act of 20 August 1997.

Leszek Skiba
In April 2020 Vice President of the Management Board of Bank Pekao S.A. From 2015 to 2020 served as the Undersecretary of State in the Ministry of Finance, where he was responsible for supervising macroeconomic policy and tax legislation in 2016-2017 and for supporting legislation regarding financial and capital markets. He also prepared an outline of the budget system reform. From March 2019 to April 2020 he was the Chairman of the Bank Guarantee Fund Council.
In the years 2009-2015 he worked at the National Bank of Poland (NBP) at the Institute of Economics, where, as an economic expert, he actively participated in the work on the NBP report indicating the consequences of Poland's membership in the eurozone and developed numerous analyzes and reports on, in particular, the eurozone economy and forecasting indicators macroeconomic in the euro area.
In the years 2002 - 2009 he was an assistant at the Faculty of Political Studies at the College of Business - NLU in Nowy Sącz.
Since 2009, he has been conducting non-profit public activities as Chairman of the Council and expert of the Sobieski Institute.
Leszek Skiba is an alumnus of the Szkoła Główna Handlowa w Warszawie (Warsaw School of Economics), which he graduated with a master's degree in International Economic and Political Relations. He is the author of numerous publications in the field of his professional work and public activity.
Marek Lusztyn, Ph.D.
Manager with 24 years of international experience in banking, for 20 years associated with Bank Pekao S.A. Group.
From February 2020 to April 2020, President of the Management Board of Bank Pekao S.A. From November 2019 to February 2020, Vice President of the Management Board of Bank Pekao S.A. managing the work of the Management Board of Bank Pekao S.A. From July 2017 to November 2019 as the Vice President of the Management Board of Bank Pekao S.A., supervising the Risk Management Division. He also served as a member of Supervisory Boards in a number of subsidiaries of Bank Pekao S.A. (Pekao Leasing S.A., Pekao Bank Hipoteczny S.A., Pekao Investment Banking S.A.).
From September 2019 Marek Lusztyn has been a member of the Council of the Warsaw School of Economics (SGH), to which he was designed by the Senate of SGH with a recommendation of the SGH Corporate Partners Club formed by leading local and international companies closely cooperating with SGH.
In 2014 Marek Lusztyn was named the Future Leader in Global Finance by the Institute of International Finance, Washington DC.
Before joining the Management Board of Bank Pekao S.A. in June 2017, Marek Lusztyn worked within international structures of UniCredit SpA, at the time parent company of Bank Pekao S.A.. Marek Lusztyn held senior executive positions in London, Munich and Milan, where he was responsible for global market and traded credit risk management spanning multiple countries of operations for UniCredit Group. Before returning to Poland in June 2017, Marek Lusztyn was also a member of the Executive Committee in charge of risk management for UniCredit Corporate and Investment Banking Markets .
Previously, between 2000 and 2008, Marek Lusztyn was Head of Market Risk Trading Book Unit and subsequently Head of Financial Risk Department at Bank Pekao, responsible in this role for Asset Liability Management of the Bank. For 8 years he was also a Member of the Supervisory Board of CDM Pekao S.A, equity brokerage subsidiary of the Bank.
Marek Lusztyn started his professional career at Bank Handlowy w Warszawie S.A as currency and fixed-income trader in Treasury Department.
He holds Ph.D. in Economic from the Warsaw School of Economics, and he is also an alumnus of University of Illinois (Executive MBA) and INSEAD. In 2019 Marek Lusztyn completed an executive program at the Singularity University, Silicon Valley in the area of innovation and new technologies. He also completed numerous courses in the field of banking, finance and management.
He is an author of numerous academic publications in the field of banking.
Krzysztof Kozłowski, Ph.D.
He has a Ph.D. degree awarded in 2010 at the Faculty of Law and Administration of the Jagiellonian University. Since 2011, an associate professor at the Department of Constitutional Law at the Faculty of Law and Administration of the Jagiellonian University. Author of several of scientific publications, as well as a participant of foreign stays, internships and scientific programs. In 2013, entered on the list of advocates (as a non-practicing advocate). He also passed the judge exam.
In the years 2013-2015 an assistant to a justice of the Constitutional Tribunal. In the years 2013-2015, he was a representative-substitute in the Group of Independent Experts of the European Local Government Charter of the Council of Europe in Strasbourg.
From April 2015 to December 2015 he was a member of the Supervisory Board of Tomaszowski Towarzystwo Budownictwa Społecznego sp.z o.o. From December 2015 to September 2016, Undersecretary of State in the Ministry of Maritime Economy and Inland Navigation. From September 2016 to January 2018 he was the West Pomeranian Voivode. In the period from January 2018 to April 2020, he was the Secretary of State in the Ministry of the Interior and Administration.
