Notice of Annual General Court

 

3 May 2022

 

The Annual General Court ("AGC") of the Bank will be held at 3:00 p.m. (or, if
later, as soon as possible thereafter as the Annual General Meeting of the
Bank of Ireland Group plc ("BOIG") convened for 11:00 a.m. on the same date,
shall have been concluded or adjourned), on Thursday, 26 May 2022 in Baggot
Plaza, 27 - 33 Upper Baggot Street, Dublin 4, D04 VX58.

 

In 2017, the Bank became a subsidiary of BOIG.  Only the appointed
representative of BOIG (the holder of all of the Bank's Ordinary Stock) is
entitled to attend and vote at the AGC. The Directors of the Bank had no
interests in the stock of the Bank as at 31 December 2021. There has been no
change in the interests of each Director in the Bank from 31 December 2021 to
date.

 

As previously announced, the Annual General Meeting of BOIG will be held at
11.00 a.m. on Thursday, 26 May 2022 in O'Reilly Hall, UCD, Belfield, Dublin 4,
and ordinary shareholders of BOIG are encouraged to cast their votes by proxy.

 

The Notice of the AGC has been made available to those who are entitled to
receive notice of the AGC. The Annual Report and Accounts of the Bank, for the
year ended 31 December 2021, were published on the Bank of Ireland website on
28 February 2022 and were posted to stockholders of the Bank today.

 

In accordance with Euronext Dublin Listing Rule 6.1.59 and UKLA Listing Rule
9.6.1, these documents will be submitted to Euronext Dublin and the UK's
National Storage Mechanism and will shortly be available for inspection at the
