Exercise of Share Options and Director Dealings
10 November 2021 - Beeks Financial Cloud Group plc (AIM: BKS), a cloud
computing and connectivity provider for financial markets, announces that
today it is issuing a total of 264,705 ordinary shares of £0.00125 each
("Ordinary Shares") following the exercise of options under the Beeks
Financial Cloud Employee Share Option Plan, at an exercise price of £0.00125
per Ordinary Share (the "Option Shares"). 68,627 of the Option Shares were
held by Fraser McDonald, Chief Financial Officer of the Company and a person
discharging managerial responsibilities.
Application will be made for the 264,705 new Ordinary Shares to be admitted to
trading on AIM ("Admission"), and dealings are expected to commence on or
around 16 November 2021. The new Ordinary Shares will rank pari passu with the
Company's existing Ordinary Shares.
Following Admission, the Company will have 56,315,854 ordinary shares of
£0.00125 each in issue. The Company has no shares in treasury, therefore the
figure of 56,315,854 should be used by shareholders for the calculations by
which they will determine if they are required to notify their interest in, or
a change of their interest in, the share capital of the Company under the
FCA's Disclosure and Transparency Rules.
Upon Admission, Mr McDonald will be beneficially interested in 112,745
Ordinary Shares, representing approximately 0.2% of the enlarged issued share
capital of the Company.
