    * Purchaser (being a wholly-owned subsidiary of company), 
entered into agreement 
    * Deal for headline price of us$1,100 million 
    * Purchaser is Beijing Gas Group Co Ltd, which is a 
wholly-owned subsidiary of company 
    * Rosneft Oil Co shall sell  aggregate of 6.9 million 
ordinary shares representing approximately 20% of share capital 
of target co 
    * Seller is Rosneft Oil Company, a public joint stock 
company incorporated under laws of Russian federation
