NOTIFICATION OF TRANSACTIONS OF

DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

 

27 NOVEMBER 2025

 

The Company announces that on 27 November 2025 ('Grant Date'), that the
following directors were granted nil - cost share options in respect of
ordinary shares in the Company ('Awards'), in accordance with the terms of the
Bellway p.l.c. Long Term Incentive Plan ('LTIP Plan') as follows:

 J M Honeyman  59,956
 S Scougall    33,283
 S Doherty     35,982

 

The Awards will vest three years after grant, conditional upon the achievement
of three-year performance conditions as set out on page 135 of the Annual
Report and Accounts 2025.  The Awards are to be satisfied using shares held
in the Bellway Employee Share Trust (1992) ('the Trust') and are subject to a
holding period that starts when the Award vests and ends on the fifth
anniversary of the Grant Date.  The Awards will attract dividend equivalents
in accordance with the LTIP Plan rules.

 

The following notifications are made in accordance with the requirements of
Article 19(3) of the EU Market Abuse Regulation.
