Issue of shares

 

RICKMANSWORTH - 01 August 2025: Big Technologies plc (AIM: BIG), a leading
provider of electronic monitoring solutions for criminal justice and remote
care, announces that 1,187,796 new ordinary shares of 1 pence each
("Ordinary Shares") in Big Technologies have been issued in order to satisfy
the exchange of A shares in Buddi Limited into shares in Big Technologies,
following the partial exercise of the second tranche of put options under
the Buddi Limited Growth Share Plan ("Put Option") (as set out in paragraph
13.5 of Part V of the Big Technologies Admission Document dated 26 July
2021 (the "Admission Document")). This exercise of the Put Option follows the
satisfaction of the Time Criteria, which is set out in the Admission Document
(the Time Criteria being the fourth anniversary of the date of the Company's
admission to trading on AIM).

Admission and Total Voting Rights

Application has been made for the new Ordinary Shares to be admitted to AIM,
with the admission date expected to be 5 August 2025. On admission, the
shares will rank pari passu in all respects with the existing Ordinary Shares
of the Company. The Company's total issued share capital
following admission will consist of 299,756,517 ordinary shares of 1 pence
each. The Company now holds 5,000,000 shares in treasury. The total voting
rights in the Company is now 294,756,517 which may be used by shareholders as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, Big
Technologies under the FCA's Disclosure Guidance and Transparency Rules.
