('the Company')
Grant of options under Sharesave Scheme
On 28 June 2024, the Company granted options over a total of 449,394 ordinary
shares of £0.01 each ('the Options') under the Bytes Technology Group
Sharesave Scheme ('the Scheme'). The Options have been granted to
participating employees under the rules of the Scheme, an HM Revenue &
Customs approved scheme introduced to encourage wider employee share ownership
of the Company. The Options are exercisable at a price of £4.57 per ordinary
share from 1 August 2027 in accordance with the rules of the Scheme. The total
grant of options under the Scheme from 2021 to 2024 represents 0.73% of the
Company's existing share capital.

Scheme, with an exercise period of 1 August 2027 - 31 January 2028.
