Extension of option term and Director/PDMR dealing
The Board of CAP-XX announces an extension to the expiry date for a grant of existing options under the CAP-XX Limited Share Option Plan ("CAP-XX Share Option Plan").
The Company currently has 25,325,000 options granted pursuant to the CAP-XX Option Plan. 3,080,000 of these options were granted on 9 October 2013 (the "2013 Options"), had an exercise price of 8.5 pence and an original expiry date of 9 October 2017 and have not subsequently been cancelled. One quarter of the 2013 Options vested 12 months following the date of grant, with the remainder vesting 1/48 each month following the date of grant. 320,833 2013 Options have been granted but have not yet vested as at the date of this announcement. The expiry date of the 2013 Options will now be 9 April 2018. All other terms relating to the 2013 Options remain unchanged. The principal reason for the extension is to allow option holders the ability to exercise the 2013 Options outside of predetermined closed periods due to CAP-XX's financial reporting timetable.
The 2013 Options were issued to the employees and senior management of CAP-XX. The table below summarises the 2013 Options granted to persons discharging managerial responsibilities (PDMR) (or persons closely associated with them).
