Notification of Transactions of Directors and Persons Discharging Managerial Responsibilities
Card Factory announces that, in line with the Company's Remuneration Policy (as set out in its 2017 Annual Report and Accounts), conditional, nil-cost, awards over ordinary shares of 1p each in the Company have been granted to Karen Hubbard, Chief Executive Officer, and Kristian Lee, Chief Financial Officer, under the Company's Long Term Incentive Plan ("LTIP") as follows:

The vesting of these awards is subject to the satisfaction of a performance condition measured over the three financial years commencing 1 February 2017 and the vested awards will be subject to a holding period which will end two years after vesting. 
In determining the number of shares to be awarded, the Remuneration Committee, in accordance with the LTIP Rules, used the average middle market price from the London Stock Exchange's Daily Official List over the 3 months prior to the date of the award.
The Remuneration Committee has reviewed the performance condition to ensure that the target supports the long-term profitable growth of the business over the performance period. Our recent interim results for the year ending 31 January 2018 showed strong sales performance on both a total and a like-for-like basis, but also demonstrated the significant impact of various ongoing cost headwinds (in particular foreign exchange and wage rates) which resulted in a 4% year on year decrease in underlying EPS. Against this outlook, the Committee set an EPS growth range of 1% to 6% p.a. CAGR for the three financial years to January 2020, which is viewed as appropriately stretching in the circumstances. 25% of the award will vest at the threshold.
This notification is made in accordance with Article 19 of the Market Abuse Regulation and the Disclosure and Transparency Rules. 
The Company was notified of the above transactions on 27 October 2017.
