Publication of Circular and Notice of General Meeting

 

Carr's Group plc announces that, further to today's earlier announcement in
relation to the Company's proposed disposal of its interests in the
Agricultural Supplies Division (the "Disposal"), a circular relating to the
Disposal (the "Circular") has been approved by the Financial Conduct Authority
and is being published today.

 

The Circular contains further details of the Disposal and, since the Disposal
is conditional upon the approval of the Company's Shareholders, also contains
a notice of general meeting (the "General Meeting") of the Company, which is
to be held at 9:30 a.m. on 19 September 2022 at Hotel Sofitel London Heathrow,
Terminal 5 London Heathrow Airport, London TW6 2GD. An ordinary resolution
relating to the Disposal will be proposed to the Company's Shareholders at the
General Meeting.

 

The Board expects that, subject to the satisfaction and/or waiver (where
applicable) of the conditions precedent to the Transaction, Completion will
occur before the end of October 2022.

 

The Company confirms that, in compliance with Listing Rule 9.6.1, an
electronic copy of the Circular is available for download on the Company's
website (https://www.carrsgroup.com (https://www.carrsgroup.com) ) and has
been submitted to the National Storage Mechanism and is available for
inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism
(https://data.fca.org.uk/#/nsm/nationalstoragemechanism) . The Circular is
expected to be posted to Shareholders on 1 September 2022.
