Result of General Meeting 2 May 2023

 

Carr's (CARR.L), the Speciality Agriculture and Engineering Group, confirms
that all resolutions proposed at its General Meeting held in Carlisle at
10.00am today were passed by shareholders.

The results of the poll on the resolutions put before the meeting are set out
below.  Votes withheld do not count in the number of votes counted for or
against a resolution.

The Board notes that although resolution 5 was passed by the requisite
majority, 23.32% of votes were cast against.  The Company will engage with
shareholders to fully understand the reasons for this and provide an update
within six months as required by the Corporate Governance Code 2018.

The total number of votes cast was 40,234,543 representing 42.75% of the
Company's shareholders.  The Board is always open to constructive dialogue
with shareholders and is grateful to all those who took the time to consider
and vote on the resolutions proposed.
