** Company to buy U.S. utility CenterPoint Energy's CNP.N Ohio natural gas distribution business for $2.62 billion
** The assets include nearly 5,900 miles of transmission and distribution pipeline in Ohio
** CNP expects to receive $1.42 billion in proceeds in 2026 and the remaining $1.20 billion in 2027 pursuant to a seller note to be entered into at closing
** NFG expects the deal to provide a stronger foothold in Ohio and broaden its regulated gas utility footprint across the U.S.
** Transaction is expected to close in 4Q26
** CNP shares down marginally in morning trading
** Including session's moves, NFG up ~36% and CNP up ~26% YTD
