("Ceres Power" or the "Company")
 
GRANT OF LONG TERM INCENTIVE PLAN ("LTIP") AWARDS
AND TOTAL VOTING RIGHTS
Ceres Power Holdings plc (AIM: CWR) announces that today, 3 October 2019, LTIP share options were awarded to Executive Directors and PDMRs of the Company, as well as other key employees. 
Awards to PDMRs are as follows:
Philip Caldwell (CEO) 161,700; Richard Preston (CFO) 91,340; Mark Selby (CTO) 91,340; James Falla (COO) 91,340; and Anthony Cochrane (CCO) 91,340.
These LTIP share options are in respect of the Company's ordinary shares of 10 pence each and have a nominal value exercise price. Vesting of the options is conditional upon achieving certain challenging share price and commercial targets over their three-year performance period.  A further two-year holding period in addition to the three-year vesting period applies to these awards. 
The notification below, made in accordance with the requirements of the EU Market Abuse Regulation, provides further detail.
 
Total Voting Rights
 
Following the exercise of employee options over 357,998 Ordinary Shares, Ceres Power confirms that as at 3 October 2019, the Company had 153,127,810 Ordinary Shares in issue, with one voting right each. The Company does not hold any shares in treasury. The number of Ordinary Shares with voting rights is therefore 153,127,810.
Accordingly, these figures may be used by shareholders as a denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the Company, under the Disclosure and Transparency Rules.
