Total Voting Rights
Cerillion, the billing, charging and customer relationship management software solutions provider, announces that on 20 October 2020, options over a total of 125,000 shares of 0.5 pence each in the Company ("Ordinary Shares") have been exercised, at 0.5 pence each ("Options"). The Options have been exercised by the following persons discharging managerial responsibilities ("PDMRs") pursuant to the Company's senior management team Long-Term Incentive Plan ("LTIP"), details of which were announced on 19 September 2017.

Total Voting Rights
In order to facilitate this exercise of Options, a total of 125,000 shares have been transferred out of treasury. Following this exercise of Options, a total of 12 Ordinary Shares are now held in treasury and the total issued share capital has remained unchanged at 29,513,486 Ordinary Shares. Each Ordinary Share carries voting rights on the basis of one vote per Ordinary Share. Therefore, the total number of voting rights is 29,513,474.
The above figure may be used by shareholders as the denominator for calculations to determine if they have a notifiable interest in Cerillion, under the Disclosure and Transparency Rules, or if such interest has changed.
Share Transfer
In addition to the exercise of Options, the Company was notified that Mr Oliver Gilchrist, CFO, transferred 176,000 shares to his wife, Mrs Sarah-Anne Gilchrist, for nil consideration on 20 October 2020 (the "Transfer"). Following the Transfer, Mr Oliver Gilchrist, together with his spouse, remains interested in a total of 352,895 Ordinary Shares, representing 1.2% of the Company's issued share capital.
