INDEPENDENT NED APPOINTMENTS

 

Chesnara plc today announces the appointment of two new independent
Non-Executive Directors, Carol Hagh and Karin Bergstein, to the Board with
immediate effect. They will be proposed for election at the Company's AGM on
17 May 2022.

 

Carol will join Chesnara plc Nomination & Governance Committee and
Remuneration Committee with Karin joining Chesnara plc Audit & Risk
Committee and Nomination & Governance Committee.

 

Carol has had an extensive international career in the insurance sector. She
was previously head of the UK insurance practice at the executive search firm
Spencer Stuart. Prior to this, she held roles in strategy, customer centricity
and digital innovation at Aviva in the UK and Aegon in the Netherlands. She
began her career in the US as an actuarial trainee. Carol holds a BA from
Harvard University and an MBA from INSEAD.

 

Karin brings a wealth of experience from a career in executive and
non-executive roles. She has helped a number of listed companies develop and
grow with a proven track record in M&A and (digital) transformation. Most
recently these have included roles as CFO for Aidence N.V., COO of a.s.r.
Nederland N.V. and various senior executive positions within ING Bank and its
subsidiaries.  Karin is also an experienced non-executive in financial
services (BNG Bank N.V, Van Lanschot Kempen N.V.), care / pharma (Sanquin) and
academic (Utrecht University) environments.  Karin holds a number of
undergraduate and post-graduate qualifications from institutions in the
Netherlands, US and France.

 

Their appointments increase the total number of Board Directors at Chesnara,
to six from five prior to the retirement of Veronica Oak in January.
