OF THE CITY CODE ON TAKEOVERS AND MERGERS (THE "CODE") WHICH, INTER ALIA,
REQUIRES A PARTY TO AN OFFER TO MAKE AN ANNOUNCEMENT AT THE END OF A PERIOD OF
12 MONTHS FROM THE DATE ON WHICH THE OFFER PERIOD ENDED CONFIRMING WHETHER IT

Apex Acquisition Company Limited ("Apex"), an indirect wholly-owned subsidiary
of Apex Group Ltd. ("Apex Parent")

Rule 19.6(c) confirmation with respect to post-offer intention statements for
Sanne Group plc ("Sanne")

Apex refers to its recommended offer for the entire issued and to be issued
ordinary share capital of Sanne which was effected by way of a scheme of
arrangement under Part 26 of the Companies Act 2006, and which became
effective on 4 August 2022. As required by Rule 19.6(c) of the Code, Apex has
confirmed to The Panel on Takeovers and Mergers that it has complied with its
post-offer intentions statements made pursuant to Rules 2.7(c)(viii) and 24.2,
as originally detailed in its announcement made under Rule 2.7 of the Code on
25 August 2021 and the scheme document published on 10 September 2021.
