Feb 9 (Reuters) - Zhongtian International Ltd  2379.HK  :  
    * Board passed a resolution to proceed with proposed 
cooperation ( "proposed cooperation") with a listed co 
    * No binding agreement in relation to proposed cooperation 
has been entered into by company as at date of this announcement 
    * It is contemplated that under proposed cooperation, listed 
company may acquire 35% equity interest of Zhongtian Enterprise
