* SP agreement in relation to acquisition by Innomed Group
of sale interest in Pacific Fertility Institutes
* Consideration of HK$175.5 million shall be satisfied by
allotment and issue of consideration shares at completion
* Vendor undertakes and guarantees to purchaser that net
profit will be no less than USD5 million
