    * Co, offshore vendor and guarantors entered into offshore 
share purchase agreement 
    * Greenstate business and onshore vendor entered into 
onshore share purchase agreement 
    * Company has conditionally agreed to acquire 100% share 
capital in offshore target company at consideration of rmb38.1 
million 
    * Greenstate business has conditionally agreed to acquire 
20% equity interest in onshore target company for rmb19 million 
    * Offshore vendor is Golden Spring Landscape Limited,  
onshore vendor is Zhejiang Yulin Holding Group
