    * Company entered into subscription agreement with an 
independent private investor 
    * Subscriber to subscribe and company has agreed to issue 
corporate bonds in aggregate principal amount of hk$10 million 
    * Net proceeds from subscriptions will be utilised to repay 
existing debts and as general working capital
