    * Phoenix healthcare group - unit, target companies and 
Citic Medical & Health entered into sale and purchase agreements 
and equity subscription agreement 
    * Phoenix healthcare group - pursuant to agreement purchaser 
agreed to acquire, and seller has conditionally agreed to sell 
subject interests
