Notice of the 2020 Third Extraordinary General Meeting
NOTICE IS HEREBY GIVEN that the third extraordinary general meeting for the year 2020 of China Yangtze Power Co., Ltd. will be held at Room 2207, Building B of Focus Place, No. 19, Financial Street, Xicheng District, Beijing, the PRC, on Wednesday, 25 November 2020 at 9:30 a.m., for the purpose of considering, and if thought fit, passing the following resolution.

1. To consider and approve the proposal for the election of Mr. ZHANG Xingliao as a Director of the 5th Board of the Company.

ORDINARY RESOLUTION
1. Resolution 1 - Proposed Election of Director of the Company
On the recommendation of China Three Gorges Corporation, it is proposed to appoint Mr. Zhang Xingliao as a Director of the Company's the 5th Board of Directors. The election of Mr. ZHANG Xingliao shall be subject to the approval of the Shareholders by means of ordinary resolution.
The biographical details of the above Director candidate are set out in Appendix I hereto for the Shareholders to make an informed decision on the relevant resolution at the 2020 third extraordinary general meeting of the Company.
 
APPENDIX I BIOGRAPHICAL DETAILS OF THE DIRECTOR CANDIDATE
Biographical details of the Director candidate are as follows:
Mr. ZHANG Xingliao
Zhang Xingliao, male, born in January 1971, a holder of master's degree in management, senior accountant and party member of the Communist Party of China. [He successively served as the comprehensive financial officer and deputy manager of the financial department of China Yangtze Power Co., Ltd., deputy manager of the financial department of China Yangtze Power Co., Ltd. and deputy general manager and chief financial officer of Hubei Daye Nonferrous Metals Co., Ltd., deputy manager of financial department of China Yangtze Power Co., Ltd. and vice chairman of the supervisory committee of Hubei Daye Nonferrous Metals Co., Ltd., vice chief economist of China Yangtze Power Co., Ltd. and director, party committee member, deputy general manager and chief accountant of Hubei Qingneng Real Estate Group Co., Ltd., deputy officer, deputy officer (presiding over), officer of the asset financial department of China Three Gorges Corporation and the general manager and deputy secretary of the party committee of Three Gorges Finance Co., Ltd. He currently serves as the general manager and deputy secretary of the party committee of China Yangtze Power Co., Ltd.
